Indemnity Agreement for Excise Duty
The Retailer acknowledges and agrees that, whether operating as a brick-and-mortar retailer, online retailer, e-commerce business, wholesaler, distributor, or independent buyer, it is solely responsible for ensuring that vaping products purchased from Maple Craft Inc. are appropriate for the province or territory in which such products are sold, shipped, or otherwise distributed. This includes responsibility for ordering vaping products bearing the correct excise stamp applicable to the Retailer's location, sales channel, and consumers destination, and for ensuring that such products are sold only to consumers in jurisdictions where the applicable excise stamp is permitted.

Maple Craft Inc. shall not be responsible or liable for any non-compliance arising from the Retailer's selection, purchase, handling, sale, or distribution of vaping products in an incorrect province, territory, or jurisdiction, including errors related to customer location, shipping destination, or method of sale.

This Indemnity Agreement (the “Agreement”) is entered into by and between Maple Craft Inc., and [Retailer Legal Entity Name], with its principal office at [Retailer Legal Registered Office Address] (collectively, the “Parties”).

Effective Date: The date of the last signature by the Parties.

WHEREAS the Retailer operates retail stores, e-commerce sites, or wholesale channels;
AND WHEREAS the Parties maintain a non-exclusive retailer-supplier relationship;
AND WHEREAS the Parties wish to confirm the Retailer’s indemnity to Maple Craft Inc. for Additional Duty Provinces;

NOW THEREFORE, in consideration of the mutual covenants herein:

Acknowledgment re Additional Excise Duty: The Retailer acknowledges that vaping products sold in Additional Duty Provinces (Ontario, Quebec, Northwest Territories, Nunavut, Alberta, Manitoba, Yukon, Prince Edward Island, New Brunswick, and others prescribed under federal law) are subject to additional excise duty under the Excise Act, 2001.

Representation and Warranty: The Retailer represents that it will not order, possess, offer for sale or distribute vaping products that are unstamped or incorrectly stamped for the applicable Additional Duty Provinces. The Retailer acknowledges compliance deadlines for stamping and transition periods as legislated.

Indemnity: The Retailer agrees to indemnify, defend, and hold harmless Maple Craft Inc. from all claims, losses, or damages resulting from sales or distribution of unstamped products or incorrectly stamped for the applicable province or territory. Maple Craft Inc. reserves the right to void or terminate sales at its sole discretion.

Binding Nature and Severability: This Agreement binds and benefits the Parties and their successors, affiliates, and assigns. Invalid provisions shall not affect the remainder of this Agreement.

Independent Legal Advice: Each Party acknowledges having the opportunity to obtain independent legal advice.

Governing Law: This Agreement shall be governed by the laws of the Province of Alberta and Canada.

Counterparts: This Agreement may be executed in multiple counterparts, including electronic copies, each deemed an original.

Safe Usage Acknowledgement

By agreeing to these Terms and Conditions, you accept & digitally signed provincial contract.

Sales Restrictions: I will not sell or provide these products to:
a) Individuals who are below the minimum legal age for the purchase or possession of vaping or tobacco-related products in the applicable province or territory of sale or delivery.
b) Anyone suspected of intending to misuse the product.

 Misuse Prevention:

The Retailer is solely responsible for age verification and compliance with youth access restrictions at the point of sale or delivery. Retailer must comply with the minimum legal age for purchase or possession of tobacco or vaping products applicable in the jurisdiction where the sale or delivery occurs.

Liability & Indemnification:

Maple Craft Inc.'s maximum liability, to the extent permitted by law, is strictly limited to the delivery of products that conform to the specifications of the order at the time of shipment and does not extend to the Retailer's compliance obligations, resale activities, or post-delivery handling. The Retailer further agrees to indemnify and hold harmless Maple Craft Inc. from any claim, penalties, or losses arising from the Retailer's advertising, marketing, labeling, resale practices, or failure to comply with applicable law following delivery.

Safety Obligations:

I will comply with all applicable safety laws and guidelines.

I will ensure all handlers are trained in safe use and handling. 

I will maintain adequate insurance coverage for related risks.

Maple Craft Inc. reserves the right to amend or update these Terms and Conditions at any time, with such amendments becoming effective immediately upon posting to the Website. Continued use of the Website, account or ordering platform constitutes acceptance of the amended terms.
